Which Compliance Requirements Actually Apply to Your Business
Not every business needs all six of these. Most competing pages list every compliance service as if they apply universally, they don't, and paying for something your business doesn't need wastes money while missing something it does need creates real risk.
A COIDA Return of Earnings only applies once you employ staff. A BBBEE Affidavit only matters if you want BEE recognition for tenders or procurement, it's not a general legal requirement for every company. A Share Certificate reissue is only relevant after a share transaction or transfer. But Beneficial Ownership Declaration and your CIPC Annual Return apply to essentially every registered company in South Africa, regardless of size or activity, these aren't optional based on your business type.
How Often Each Compliance Requirement Comes Around
| Requirement | Frequency | Applies To |
|---|---|---|
| CIPC Annual Return | Every year | All registered companies |
| Beneficial Ownership Declaration | On filing, and when ownership changes | All registered companies |
| COIDA Return of Earnings | Every year | Companies with employees |
| Company Amendments | Whenever address or directors change | Any company with a change to report |
| BBBEE Affidavit | Annually, if used | Companies pursuing BEE recognition |
| Share Certificate | After a share transaction | Companies with share transfers/allotments |
What Happens If Your Business Falls Behind on Compliance
A lapsed CIPC Annual Return can lead to your company being flagged as non-compliant, and in ongoing cases, deregistered entirely, at which point reinstating it becomes far more involved than simply filing on time would have been. Missing your COIDA Return of Earnings puts your Letter of Good Standing at risk, which many clients and tenders require before they'll work with you.
These requirements are enforced by the CIPC and the Department of Labour respectively, and neither issues warnings indefinitely before taking action.
